IMPORTANT — PLEASE READ CAREFULLY: This Business Application and Subscription Agreement (“Agreement”) is a legally binding contract between you, the business owner or authorized representative (“Applicant”), and PremicesOne LLC (“PremicesOne”). By submitting your application and using our platform, you agree to all terms contained herein.

1. Eligibility and Application Requirements

1.1 Who May Apply

PremicesOne services are available to any legitimate, operating business entity that manages products with expiration or best-before dates. This includes grocery stores, specialty food retailers, pharmacies, convenience stores, restaurants, cafes, warehouses, distributors, and any other business with inventory expiration management needs. To be eligible, you must:

• Be a legally registered business entity in the United States or Canada
• Operate a physical or online retail location that manages products with expiration or best-before dates
• Hold a valid Employer Identification Number (EIN) issued by the IRS, or equivalent business registration number
• Be the legal owner or an authorized representative with authority to bind the business to this Agreement
• Be at least 18 years of age
• Operate a business that sells products with expiration or best-before dates

1.2 Business Verification

As part of the application process, you agree to provide accurate and complete information for verification purposes, including:

• Legal business name as registered with government authorities
• Employer Identification Number (EIN) or business registration number
• Physical store address verifiable via Google Maps or equivalent mapping service
• Owner or authorized representative full legal name
• Valid business phone number subject to SMS verification
• Valid business or owner email address subject to email verification
• Government-issued identification for Enterprise tier applications

1.3 Application Review

Submission of an application does not guarantee approval. PremicesOne reserves the right to:

• Approve or reject any application at its sole discretion
• Request additional documentation or information
• Conduct verification checks using third-party services
• Revoke access if false or misleading information is discovered after approval

2. Subscription Plans and Billing

2.1 Available Plans

2.2 Free Trial

All new approved subscribers receive a 14-day free trial. No charges are applied during the trial period. A valid payment method must be on file to activate the trial. If you do not cancel before the trial period ends, your selected plan will automatically begin billing.

2.3 Billing Terms

• Subscriptions are billed monthly in advance on the anniversary of your activation date
• All fees are in United States Dollars (USD)
• Payment is processed via Stripe, our third-party payment processor
• You authorize PremicesOne to charge your payment method on a recurring basis
• Annual billing is available at a 20% discount — contact support@premicesone.com
• All sales are final unless otherwise specified in our refund policy

2.4 Price Changes

PremicesOne reserves the right to modify subscription pricing. We will provide at least 30 days written notice before any price increase takes effect. Your continued use of the service after the effective date constitutes acceptance of the new pricing.

2.5 Founding Store Partners

Stores selected as Founding Partners under our Beta Program are subject to separate pricing commitments communicated in writing at the time of selection. Founding Partner pricing is locked for the life of the account provided the account remains active and in good standing.

3. Data Collection, Storage, and Privacy

3.1 Business Data

By applying and using PremicesOne, you consent to our collection and processing of:

• Business registration information including EIN and legal business name
• Store location data including address, coordinates, and operating hours
• Owner and staff personal information provided during registration
• Inventory data, product information, and expiration date records entered into the platform
• Usage data, device information, and platform interaction logs

3.2 Data Ownership

You retain full ownership of all inventory and business data you enter into PremicesOne. We do not sell your business data to third parties. Your data may be used in aggregate, anonymized form to improve our services and generate industry insights.

3.3 Data Security

PremicesOne implements industry-standard security measures to protect your data, including:

• Encryption of data in transit using TLS/SSL
• Encryption of sensitive data at rest
• Role-based access controls limiting staff access
• Regular security audits and vulnerability assessments

3.4 Data Retention

Upon account termination, your data will be retained for 90 days during which you may request a full export. After 90 days, data will be permanently deleted from our systems except where retention is required by law.

4. Acceptable Use of the Platform

You agree to use PremicesOne only for lawful business purposes. You must not:

• Share account credentials with unauthorized individuals outside your business
• Use the platform to store false, misleading, or fraudulent product information
• Attempt to reverse-engineer, decompile, or extract source code from the platform
• Use automated scripts or bots to interact with the platform without written authorization
• Resell, sublicense, or transfer access to the platform to third parties
• Use the platform in any way that violates applicable business, health, or safety regulations
• Upload malicious code, viruses, or any content that could harm the platform or other users

5. Staff Accounts and User Management

As the account owner, you are responsible for all activity that occurs under your account, including actions taken by staff members. You agree to:

• Only grant access to individuals who are current employees or authorized representatives
• Immediately revoke access for any staff member whose employment or authorization ends
• Ensure all staff members comply with these Terms
• Maintain the confidentiality of all account credentials

PremicesOne is not liable for any loss or damage arising from unauthorized access resulting from your failure to maintain account security.

6. Service Availability and Support

6.1 Uptime

PremicesOne strives to maintain platform availability of 99.5% uptime measured monthly, excluding scheduled maintenance. We will provide advance notice of scheduled maintenance where reasonably possible.

7.1 Cancellation by You

You may cancel your subscription at any time by contacting support@premicesone.com or through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

7.2 Termination by PremicesOne

We reserve the right to suspend or terminate your account immediately and without notice if:

• You provide false or fraudulent information during the application process
• You violate any provision of this Agreement
• Payment is not received within 10 days of the due date
• Your use of the platform poses a risk to other users or to our systems

7.3 Effect of Termination

Upon termination, your access to the platform will cease immediately. You will have 90 days to request a data export before your data is permanently deleted.

8. Indemnification

You agree to indemnify, defend, and hold harmless PremicesOne LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:

• Your use of or access to the platform
• Your violation of any provision of this Agreement
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any claim that your business data caused damage to a third party

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREMICESONE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, ANY EXPIRATION, SPOILAGE, OR INVENTORY LOSS NOT PREVENTED BY USE OF THE PLATFORM, OR ANY INTERRUPTION OR CESSATION OF SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO PREMICESONE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration in Seattle, Washington, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

11. Entire Agreement

This Agreement, together with our Website Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and PremicesOne regarding the use of our services and supersedes all prior agreements, understandings, or representations.
